FUNDRAISER AND DONATION TERMS AND CONDITIONS

1. DEFINITIONS

1. Fundraiser: a natural or legal person who registers, has registered or will register to fundraise for AFTOC on fund.theoceancleanup.com.

2. Fundraising Campaign: any fundraising activities taken on by a Fundraiser on fund.theoceancleanup.com.

3. Donation: any asset, including any monetary amount, donated by a Donor to American Friends of The Ocean Cleanup (“AFTOC”), by means of electronic authorization through fund.theoceancleanup.com, the website of AFTOC or otherwise.

4. Donor: a natural or legal person who donates, has donated or will donate a Donation to AFTOC.

5. Goal: AFTOC is committed to preserve and protect the natural ocean environment for the benefit of the public including (i) promoting, developing and performing the environmentally friendly, large-scale and efficient extraction and removal of waste from oceans, seas and other waste areas, and (ii) promoting, developing and performing the environmentally friendly recycling of such waste. AFTOC: American Friends of The Ocean Cleanup, a non-profit non-stock Delaware corporation and a public charity under section 170(c)(2)(b) and section 501(c)(3) of the U.S. Internal Revenue Code.

2. APPLICABILITY

1. These Terms and Conditions apply to every Fundraising Campaign and to every Donation.

2. By creating a Fundraising Campaign and/or by making a Donation, the Fundraiser and/or the Donor respectively, agree to be bound to these Terms and Conditions.

3. AFTOC uses the personal data of each Fundraiser and each Donor as specified in the Privacy and Cookie Notice on the website (Privacy and Cookie Notice • The Ocean Cleanup) and processes this personal data in accordance with the Privacy and Cookie Notice.

3. FUNDRAISING CAMPAIGNS

1. By creating a Fundraising Campaign, a Fundraiser gives permission to AFTOC to freely use its name, image and any content provided for the Fundraising Campaign on the AFTOC websites and on social media.

2.AFTOC reserves the right to reject the creation or continuation of a Fundraising Campaign if found to entail integrity and/or reputational risks.

3. Fundraisers are responsible for any costs incurred due to the Fundraising Campaign.

4. Fundraisers are responsible for ensuring compliance with all applicable laws and regulations, as well as relevant health and safety standards when organizing an event related to their Fundraising Campaign.

5.AFTOC does not have any legal or financial liability for a Fundraising Campaign or arising from any relevant fundraising activities and events.

6. Fundraising Campaigns organized by companies/businesses may only be aimed internally at their employees for engagement and not at their customers. External messaging on Fundraising Campaigns for AFTOC may not be tied to the respective business sales. Non-compliance with the terms of this clause can be considered as an integrity and/or reputational risk to the absolute discretion of AFTOC and lead to the rejection or discontinuation of a Fundraising Campaign, as per above term 3.2.

4. DONATIONS

1. By making a Donation, Donor agrees that AFTOC can use such Donation domestically or internationally, at its own discretion, but only within the scope of the Goal. Donations may be transferred in full or in part to other foundations, institutions, and/or other third parties, domestically or internationally, to the extent AFTOC has reasonably assured itself, that such Donations will be used within the scope of the Goal.

2. A Donation is irrevocable.

3. Recurring donations can be canceled upon request by the Donor, by contacting us through our website contact form.

4. A donation confirmation will be made available upon request, by contacting us through our website contact form.

5. AFTOC is qualified under U.S. Internal Revenue Code section 501(c)(3). Donations to AFTOC are tax-deductible to the fullest extent allowed by law in the United States. For other countries, please check with your local tax adviser regarding tax deductions of charitable contributions to AFTOC.

4. FINAL PROVISIONS

1. All disputes and controversies arising out of or relating to Fundraising Campaigns and/or Donations, these Terms and Conditions, or the relationship between a Fundraiser and AFTOC or a Donor and AFTOC shall be finally and bindingly resolved under the Commercial Arbitration Rules of the American Arbitration Association in front of a sole arbitrator. The place of arbitration shall be New York, New York. The language of the arbitration shall be English.

2. New York law applies to a Fundraising Campaign, a Donation and these Terms and Conditions, and governs the relationship between Fundraisers and AFTOC, as well as Donors and AFTOC.
